Terms of Service

By registering an account on Toripe, connecting an Android SIM listener device, or integrating the Toripe API / checkout SDKs on your website, you (“Merchant”, “User”, or “You”) agree to be legally bound by these Terms of Service.

If you operate on behalf of a registered company, you represent and warrant that you possess the requisite legal authority to bind that entity. If you disagree with any clause, you must immediately terminate use of the platform.

Toripe provides financial infrastructure and workflow automation software designed for Bangladesh e-commerce, mobile apps, and digital businesses:

• Automated MFS Verification: Real-time matching and reconciliation of customer TrxIDs for bKash, Nagad, Rocket, Upay, and CellFin.
• Android SIM Listener App: Dedicated background foreground-service that reads inbound provider confirmation SMS notifications and syncs them with your cloud server.
• Developer APIs & Webhooks: High-throughput REST endpoints and cryptographically signed webhooks with sub-second delivery latency.
• Pre-Built Integrations: One-click plugins for WooCommerce, Shopify, Next.js, Laravel, PHP, and Python.

Upon account creation, you receive unique API Public Keys, API Secret Keys, and Android device pairing tokens. You are solely responsible for maintaining the confidentiality of these secrets.

Toripe strictly prohibits facilitating transactions for illegal goods, unlicensed financial schemes, or fraudulent activities:

Violations result in immediate and permanent account suspension without prior notice or refund.

Toripe services are billed as flat monthly or annual software subscriptions. Subscriptions automatically renew at the beginning of each billing cycle unless cancelled via the merchant dashboard.

• No Hidden Surcharges: You only pay your flat subscription plan. No bandwidth or per-verification markups.
• Refund Policy: Monthly plans are non-refundable once started. Annual plans may be cancelled within the first 7 calendar days for a full refund.

We target a 99.9% API uptime SLA. Our webhook engine features automatic exponential backoff (retrying up to 10 times over 24 hours) whenever your server endpoint returns a non-2xx status code or experiences temporary timeouts.

Toripe trademarks, API designs, documentation, and interface code remain the sole property of Toripe Technologies Ltd. We grant merchants a revocable, non-transferable license to utilize our APIs and SDKs solely for commercial payment processing.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TORIPE IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING FROM TELECOMMUNICATION SMS DELAYS, ANDROID DEVICE BATTERY EXHAUSTION, OR CUSTOMER FULFILLMENT DISPUTES.

TORIPE'S AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO TORIPE IN THE PRECEDING THREE (3) MONTHS.

You agree to defend and hold harmless Toripe and its officers from any claims or legal fees resulting from your violation of these Terms, breach of third-party rights, or fulfillment disputes with your buyers.

You may cancel your account at any time via dashboard settings. Toripe may suspend or terminate access immediately upon detection of fraudulent transactions or violation of our Acceptable Use Policy.

These Terms shall be governed by the laws of Bangladesh. Any unresolved dispute following 30 days of good-faith discussion shall be submitted to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.

We may update these terms periodically. Notice of material revisions will be provided at least 14 days in advance via email or dashboard bulletin. Continued use indicates agreement to revised terms.
